These Terms of Use ("Terms") explain the rights and obligations that apply when you access or use the SmartCard™ platform, operated by Moonlight Projects ehf. ("SmartCard", "we", "our", or "us"). By visiting our websites, purchasing gift cards, creating an account, or using any SmartCard service, you agree to these Terms. If you do not agree, please do not use the platform.
1. About Our Service
SmartCard provides a digital gift card platform that enables participating merchants to issue, manage, and distribute wallet-ready gift cards. Consumers can discover merchants, purchase gift cards, and deliver them electronically to recipients. SmartCard is a technology provider; each gift card is issued by the relevant merchant and is redeemable solely with that merchant.
2. Definitions
- Account: A user profile that gives access to specific SmartCard features.
- Gift Card: A stored-value digital voucher issued by a merchant through SmartCard.
- Merchant: A business that offers gift cards via the SmartCard platform.
- Recipient: The individual designated to receive and redeem a gift card.
- Wallet: Supported digital wallet services (e.g., Apple Wallet, Google Wallet) where eligible gift cards can be stored.
3. Eligibility & Account Responsibilities
- You must be at least 18 years old and legally able to enter into contracts in your jurisdiction.
- You represent that all information provided during account creation, purchase, or merchant onboarding is accurate and complete.
- You are responsible for maintaining the confidentiality of your login credentials and for all actions taken through your account.
- You must promptly notify us of any unauthorized access or security breach.
4. Purchasing Gift Cards
- Gift cards can be purchased through our consumer storefront, embedded merchant experiences, or other SmartCard-powered channels.
- Prices, currency, denominations, applicable taxes, and promotional offers are determined by each merchant at the time of purchase.
- Payment must be authorized in full before a gift card is issued. We accept payment methods displayed during checkout and may use third-party payment processors.
- A confirmation email and/or SMS may be sent to the purchaser and/or recipient. Please verify that the recipient details are correct before completing your order.
5. Delivery & Wallet Availability
- Gift cards are delivered electronically. Delivery timelines may vary based on payment processing, fraud checks, email service, or other technical conditions.
- Some gift cards can be added to supported digital wallets. Wallet availability depends on merchant configuration, card design requirements, and device compatibility.
- SmartCard is not responsible for third-party wallet services. Their terms and policies apply when you add or use a gift card in a digital wallet.
6. Using Gift Cards
- Each gift card is redeemable only at the merchant identified on the card and cannot be exchanged for cash unless required by law.
- Merchants control redemption rules, including eligible products, minimum or maximum purchase amounts, and in-store versus online acceptance.
- Gift cards may carry expiration dates or dormancy fees if permitted by local law. Applicable terms are displayed during purchase and in the recipient email.
- Lost, stolen, or unauthorized use of a gift card is the responsibility of the purchaser or recipient. SmartCard is not liable for reissuing or replacing value unless required by law or agreed by the merchant.
7. Return Policy for Electronic Gift Cards
- Electronic gift cards are classified as digital financial products and are subject to special rules under consumer protection laws. Because gift cards are delivered instantly and often activated immediately, they are generally non-refundable.
- We do not refund or exchange electronic gift cards unless one of the following applies:
- Technical failure on our or our provider’s side preventing delivery or activation.
- Incorrect amount or item caused by a system or processing error on our part.
- A legally mandated refund, based on applicable consumer protection laws.
- Gift cards that have been delivered, viewed, activated, or partially redeemed cannot be refunded.
- If the purchaser enters an incorrect email address, this is not considered a defect. We can resend the gift card once the correct email is confirmed.

8. Merchant Obligations
Merchants agree to:
- Honor valid gift cards in accordance with the redemption rules communicated to consumers.
- Maintain sufficient inventory, products, or services to redeem issued gift cards, subject to standard business operations.
- Comply with all applicable laws, including consumer protection, anti-money laundering, and data protection regulations.
- Provide accurate, up-to-date business information, including pricing, contact details, and terms specific to their gift cards.
- Safeguard access to their merchant dashboards, API keys, and integrations.
9. Prohibited Conduct
You agree not to:
- Engage in fraudulent activity, including unauthorized use of payment methods or attempts to resell gift cards in violation of merchant terms.
- Interfere with the proper functioning of the platform, including introducing malware, scraping data, or attempting to gain unauthorized access.
- Use the platform to violate any law, infringe intellectual property, or harm the reputation of SmartCard or participating merchants.
- Circumvent security measures, digital rights protections, or rate limits applied to the platform or wallet integrations.
10. Platform Availability & Support
- We strive to maintain continuous access to the platform but do not guarantee uninterrupted or error-free service.
- Scheduled maintenance, updates, or unforeseen outages may result in temporary downtime, which we aim to communicate in advance when possible.
- Customer support is available through channels listed on our website. Response times may vary by request type and service plan.
11. Data Protection & Privacy
- SmartCard collects and processes personal data in accordance with our Privacy Policy.
- We implement appropriate technical and organizational measures to protect personal data, transaction information, and wallet credentials.
- Merchants are independently responsible for complying with data protection laws applicable to their handling of consumer data.
12. Intellectual Property
- SmartCard retains all rights to the platform, branding, content, software, APIs, and documentation.
- You receive a limited, non-exclusive, revocable license to access and use the platform for its intended purposes.
- Merchants grant SmartCard a license to use their trademarks, logos, and content solely for displaying and promoting their gift cards within the platform.
13. Disclaimers
- The platform is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- SmartCard does not guarantee that gift cards will meet your expectations, that merchants will remain operational, or that wallet integrations will always be available.
- To the fullest extent permitted by law, we disclaim any liability arising from merchant offerings, fulfillment, pricing, or customer service issues.
14. Limitation of Liability
- SmartCard's aggregate liability for any claim arising from your use of the platform or a gift card is limited to the amount you paid for the specific gift card or service giving rise to the claim.
- We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, data loss, or business interruption.
- The limitations above apply even if we have been advised of the possibility of such damages and regardless of the legal theory asserted.
15. Indemnification
You agree to indemnify and hold harmless SmartCard, our affiliates, and our directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your breach of these Terms.
- Your misuse of the platform or gift cards.
- Your violation of applicable laws or third-party rights.
16. Changes to the Platform & Terms
- We may update or modify the platform, including features, layout, pricing, or integrations, at any time.
- We may amend these Terms to reflect changes in law, platform updates, or policy adjustments. If the changes are material, we will provide notice through the platform or by email.
- Continued use of the platform after the effective date of updated Terms constitutes acceptance of the new Terms.
17. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of Iceland, without regard to conflict-of-law principles.
- Any dispute arising out of or relating to these Terms, the platform, or a gift card shall be subject to the exclusive jurisdiction of the courts of Iceland.
- Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting SmartCard at the address provided below.
- Any disputes concerning the interpretation or implementation of these terms may be brought before the District Court of Héraðsdómur Suðurlands.
18. Email Communications
- We send customers transactional and service-related emails, including order confirmations, delivery information, and updates regarding gift card usage.
- Marketing and promotional emails are only sent based on the user’s clear and explicit consent (opt-in). Users may unsubscribe from marketing communications at any time using the unsubscribe link included in our emails or by contacting customer support.
- Consent for marketing communications is not a condition for purchasing or using the service.

By purchasing or redeeming a gift card, you acknowledge that you have read, understood, and agree to these Terms of Use. If you are accepting these Terms on behalf of a business, you represent that you have authority to bind that business.
